Licence Terms and Conditions
1. Definitions
In these Licence Terms the following words and expressions shall have the following meanings:
'Licence' means the licence agreement made between the Licensor and the Licensee by the Licensee's completion of the details of the Licensee, the Location and the Fee in the relevant boxes appearing on the Website and the Licensee's acceptance (acting through the Named Individual) of these Licence Terms and Conditions by ticking the [acceptance box]
'Licence Fee' means the fee properly payable by the Licensee to the Licensor the amount of which has been inserted by the Named Individual in the relevant box appearing on the Website
'Licence Terms' means these terms and conditions
'Licensee' means the organisation whose details have been inserted by the Named Individual in the relevant box appearing on the Website
'Licensor' means Mr Tony Blagg, trading as Sing to Grow, of 20 Upcott Mead Road, Tiverton, Devon, EX16 5AZ
'Location' means the premises at the address of which the details have been inserted by the Named Individual in the relevant box appearing on the Website
'Materials' means the lyrics, arrangements, guitar and piano versions and other written materials specified in the Schedule
'Named Individual' Means the person who has inserted his or her details in the relevant box on the Website
'Permitted Events' means events held for the primary purpose of worship at Christmas, Easter, Harvest Festival and other commonly recognised religious festivals or celebrations organised by the Licensee, whether at the Location or elsewhere within 10 miles of the Location
'Schedule' means the Schedule appearing at the end of, and forming part of, this License
'Songs' means the musical compositions, lyrics and the recorded performances of them specified in the Schedule
'Website' means the Licensor's website www.singtogrow.co.uk
2. Grant of Licence
2.1 In consideration for the payment of the Licence Fee, the Licensor grants the Licensee permission by way of non-exclusive licence to:
a) Publicly perform the Songs at the Location at all times; and
b) Publicly perform the Songs at Permitted Events; and
c) Reproduce the Materials in physical or electronic form and to use such reproductions for educational purposes at the Location or in association with public performances of the Songs permitted in accordance with the permissions given under clauses 2.1(a) and 2.1(b) above in these Licence Terms and for the purposes of the rehearsal and teaching of the Songs during, or in preparation for, any such public performance.
d) Download from the Website any new or additional songs, lyrics, arrangements, piano or guitar versions from time to time made available by the Licensor, and to use the same for the purposes and strictly in accordance with the permissions given under clauses 2.1(a), 2.1(b) and 2.1(c) above in these Licence Terms.
2.2 The Licensee acknowledges and accepts that, save as expressly provided in clause 2.1, it shall not have or acquire any other permission, consent or interest in or to the Songs or the Materials whether by reason of the Licence, these Licence Terms or otherwise.
3. Renewal/Extension of Licence
Subject to, and conditional upon:
a)the Licensee not being in breach of any of the provisions of this Agreement
the Licence may be extended at the discretion of the Licensor for an additional period of 1 calendar year at a time.
4. Delivery of the Songs and the Materials
4.1 Subject to, and conditional upon, prior receipt of payment of the Licence Fee, the Licensor shall deliver to the Licensee 1 copy in digital compact disc form of the Songs and the Materials as specified in the Schedule.
4.2 The cost of secure postage and packing of the Songs and the Materials is payable by the Licensee.
4.3 In the event of loss or destruction of any digital compact disc embodying the Songs or the Materials, the Licensee may request a further copy from the Licensor. The Licensor shall be entitled to charge at its then-prevailing replacement charge rate, for any replacement copy or copies requested in accordance with this clause 4.3.
5. The Licence Fee
5.1 The Licence Fee is exclusive of Value Added Tax which may, at the option or election of the Licensor, be charged in addition thereto at the then-prevailing rate.
5.2 The Licensee shall pay the Licence Fee without deduction or set off (whether in respect of withholding tax or otherwise).
5.3 In additional to any other rights or remedies available to the Licensor under the Licence, the Licensor shall have the right to charge interest on all or any part of the Licence Fee or any licence renewal fee which is not paid on or before the date on which it falls due for payment at the rate of 8% per annum.
6. Restrictions on the Licensee
6.1 The Licensee acknowledges and undertakes to the Licensor that it shall not at any time without the express prior written consent of the Licensor:
a) Change, alter or adapt the Songs or the Materials or create or assist or permit the creation by any other person of any derivative work based upon or derived from the Songs or the Materials;
b) By any act or omission prejudice or impair the copyright or other intellectual property in the Songs or the Materials;
c) Make any charge or receive any payment or benefit (in money or money's worth) for any public performance or other use of the Songs or the Materials whether as permitted under clause 2 or otherwise;
d) Rent, lease, sub-licence, sell, assign, hire, pledge, transfer, share, publish (whether electronically or otherwise) or otherwise dispose of the Songs or the Materials;
6.2 Without prejudice to the restriction set out at sub-clause 6.1(a), the Licensee hereby assigns to the Licensor all copyright and other intellectual property rights of whatever nature in any changed, altered or adapted works or any derivative works based upon or derived from the Songs or the Materials which are created by the Licensee and undertakes to procure the assignment to the Licensor of such rights in any such works created by any person permitted or allowed by the Licensee to do so.
7. Warranties & Indemnities
7.1 The Licensor warrants that the Songs and the Materials are the Licensor's own original work, that he is the legal and beneficial owner of all copyright in them and that their use by the Licensee in accordance with the terms of the Licence will not infringe the rights of any other person.
7.2 The Licensee shall indemnify and hold harmless the Licensor on demand against all claims, costs, damages and proceedings arising or threatened against the Licensor arising out of or in connection with any use by the Licensee of any of the Songs or the Materials otherwise than strictly in accordance with the Licence.
8. Termination
8.1 The Licensor may terminate the Licence at any time by written notice to the Licensee in the event that the Licensee is in material breach of any provision of the Licence or these Licence Terms and, in the case of a material breach which is capable of remedy, has failed to remedy it to the satisfaction of the Licensor within 30 days of receipt of a written notice specifying the breach and the action to be taken to remedy it.
8.2 The provisions of clauses 6 and 7.2 shall survive the termination of the Licence.
On termination of the Licence for whatever reason, the Licensee shall promptly:
a) deliver to the Licensor the originals of all digital compact discs delivered previously by the Licensor in accordance with clause 4;
b) destroy all copies of the Songs or the Materials (whether in physical or electronic form) made by the Licensee or otherwise in the Licensee's possession or power
9. Assignment
The Licensor may at any time sell or assign the benefit of all or any part of his copyright and other intellectual property in the Songs or the Materials and may assign the benefit of his rights under the Licence by notice to the Licensee. The Licensee may not assign, sub-licence or otherwise deal in any way with its rights or obligations under the Licence or these Licence Terms without the express prior written permission of the Licensor.
Applicable Law and Jurisdiction
The Licence and these Licence Terms shall be governed by and construed in accordance with English law and the Licensor and Licensee hereby irrevocably agree to submit to the jurisdiction of the Courts of England and Wales in connection with any matter or dispute arising out of or in connection with the Licence or its interpretation.
